These Terms of Service ("Terms") are a legal agreement between CREWINABOX SOFTWARE DEVELOPMENT SERVICES ("Voluble", "we", "us"), a company organized in the Philippines with registration number DTI Business Name No. 8408202 and address at 24 A Santiago, Sipac - Almacen, Navotas City, 1409, and the business that uses the Voluble service ("Client", "you"). Please read them carefully.
1. Acceptance and eligibility
By accessing or using Voluble, or by clicking "I agree", you accept these Terms. Under the Philippine E-Commerce Act (RA 8792), an offer, acceptance, and contract may be expressed electronically and cannot be denied validity or enforceability solely because they are in electronic form; clicking "I agree" is a valid and binding acceptance. You must be at least 18 years old and authorized to act for your business. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.
2. What Voluble is
Voluble is a "done-for-you" AI assistant that answers Facebook Messenger and Instagram Direct Message conversations on your behalf, in Taglish, using the price lists, FAQs, and other materials you upload. It uses retrieval-augmented generation to answer from your materials, plus features including conversation logs, support for consumer-sent photos and documents, an AI-to-human handoff with email notifications, configurable persona and tone, and rate limiting.
3. Accounts are created by Voluble staff - there is no public signup
Voluble has no public self-service registration. Our staff create and provision each Client account manually as part of onboarding. You may not create accounts by any automated means or attempt to register without going through us.
You are responsible for keeping your login credentials secret, for all activity under your account, and for notifying us immediately at support@voluble.ph if you suspect unauthorized use. Do not share your credentials or let anyone use your account who is not authorized by you.
4. Acceptable use
You agree not to use Voluble to: break any law; send spam or content that violates Meta's policies; harass, deceive, or defraud anyone; upload malware; infringe anyone's intellectual property; collect data without a lawful basis; or attempt to reverse-engineer, overload, or disrupt the Service. You must comply with the Meta Platform Terms, Developer Policies, and Messenger Platform policy at all times.
You acknowledge that Meta's Messenger Platform policy imposes operational rules that apply to your Page, including that automated bots must respond to user input within 30 seconds, that businesses generally have up to 24 hours to respond within the standard messaging window, and that automated experiences must disclose to users that they are automated. Voluble is configured to help you meet these rules, but you remain responsible for your Page's compliance.
5. Your content and your responsibilities
You are responsible for the accuracy of everything you upload - price lists, product details, FAQs, promotions, and any other knowledge files. The AI answers from what you give it. If your uploaded information is wrong or out of date, the answers will be wrong too.
You - not Voluble - are the seller. You are solely responsible for your own prices, promises, promotions, product quality, fulfilment, refunds, and all dealings with your customers. Voluble is a messaging tool; it is not the seller of your goods or services and is not a party to any contract between you and your customers. This allocation is consistent with the Consumer Act of the Philippines (RA 7394), under which the seller is responsible to consumers.
6. AI output disclaimer - please read this
The AI assistant can be wrong. It may misread context, misunderstand a question, produce inaccurate or incomplete answers, or generate wording you did not intend. It is an automated system, not a human and not professional advice.
You must monitor it. You are responsible for reviewing the assistant's behavior, configuring it correctly, keeping your knowledge files accurate, and standing behind every message sent in your business's name. You should use the human-handoff feature for anything sensitive, high-value, or complex. Voluble does not guarantee that any AI-generated reply is accurate, appropriate, or fit for any purpose.
7. Dependence on Meta
Voluble depends on Meta's platforms (Facebook, Instagram, Messenger Platform, and related APIs). Meta can change, limit, suspend, or revoke access to its platforms at any time, and this can affect or interrupt the Service. We are not responsible for Meta's actions, outages, or policy changes, and such events are outside our control.
8. Intellectual property
You keep ownership of your content. You keep all rights to the knowledge files and materials you upload. You grant Voluble a limited, non-exclusive license to store, process, and use that content only to provide the Service to you (including sending it to our AI subprocessors to generate replies).
We keep ownership of the platform. Voluble owns the Service, its software, models configuration, and branding. We grant you a limited, non-transferable right to use the Service during your subscription. You may not copy, resell, or create derivative works of the platform.
9. Confidentiality
Each party may receive confidential information from the other. Both parties agree to protect the other's confidential information and use it only to perform under these Terms. This does not apply to information that is public through no fault of the receiving party or that must be disclosed by law.
10. Fees, billing, VAT, and late payment
You agree to pay the fees in your order or plan. Fees are stated in Philippine Pesos unless otherwise agreed.
VAT.Voluble's digital services may be subject to the 12% value-added tax on digital services under RA 12023 (the VAT on Digital Services Act) and BIR Revenue Regulations No. 3-2025. If Voluble is or becomes VAT-registered, VAT will be added to your fees and shown on a compliant invoice. If Voluble is not yet VAT-registered, fees are exclusive of VAT and VAT will be added once registration takes effect. You are responsible for any taxes on your own sales to your customers.
Late payment. We may suspend the Service if fees are overdue. You remain responsible for amounts owed for the period the Service was provided.
11. Term, suspension, and termination
These Terms apply while you use the Service. Either party may terminate as agreed in your plan or on reasonable notice. We may suspend or terminate immediately if you breach these Terms, fail to pay, or use the Service in a way that risks harm or a Meta policy violation.
On termination: your right to use the Service ends. We will delete your Client account data within 30 days of termination, except billing and tax records we must keep by law, and except End Consumer data we are instructed to retain or delete per the Data Deletion process. You may request an export of your data before termination.
12. Warranty disclaimer
The Service is provided "as is" and "as available", to the maximum extent allowed by Philippine law. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate or fit for any particular purpose. This does not exclude any warranty that cannot be excluded by law.
13. Limitation of liability
To the maximum extent allowed by law, Voluble is not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost sales, or lost goodwill. Our total liability for any claim is limited to the fees you paid us in the three months before the event giving rise to the claim. Nothing here limits liability that cannot be limited under Philippine law.
14. Indemnification
You agree to indemnify and hold Voluble harmless from claims, damages, and costs arising from: your content and knowledge files; your prices, promotions, products, and dealings with your customers; your breach of these Terms; and your violation of any law or of Meta's policies.
15. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, power or internet failures, government action, or failures of third-party platforms such as Meta.
16. Governing law and venue
These Terms are governed by the laws of the Republic of the Philippines. Any dispute will be brought exclusively before the proper courts of Navotas City, Philippines, without prejudice to any mandatory consumer or data-privacy venue rules.
17. Changes to these Terms
We may update these Terms. We will post the updated version with a new date and, for material changes, notify you by email. Continuing to use the Service after changes take effect means you accept them.
